General Counsel

Reporting directly to the CEO, the General Counsel will oversee all legal matters for the company and its affiliated entities. This role is critical in aligning legal strategies with business objectives, ensuring regulatory compliance, and managing risks. The ideal candidate will excel in a dynamic, entrepreneurial environment and provide guidance on corporate governance, M&A, intellectual property, and compliance across diverse markets.

Key Accountabilities and Responsibilities

  • Strategic Legal Guidance :
  • Lead all legal functions, advising on corporate governance, M&A, compliance, and risk management.
  • Partner with the Executive Team to align legal strategies with business objectives, including growth initiatives and market expansion.
  • Contract Management :
  • Draft, review, and negotiate diverse agreements, including SaaS and licensing contracts.
  • Develop streamlined processes for contract management from inception to execution.
  • Compliance Oversight :
  • Ensure adherence to global regulatory requirements, including data privacy laws (GDPR, CCPA) and cybersecurity standards.
  • Create and implement policies to meet internal and external compliance standards.
  • Mergers & Acquisitions :
  • Oversee legal due diligence, transaction structuring, and integration for M&A activities.
  • Collaborate with executives to ensure alignment with strategic goals.
  • Litigation Management :
  • Direct litigation strategies, oversee dispute resolution efforts, and manage external counsel.
  • Provide guidance on intellectual property enforcement and global compliance issues.
  • Cross-Functional Collaboration :
  • Work with teams across product, finance, HR, and operations to integrate legal insights into business processes.
  • Foster relationships with portfolio companies to deliver tailored legal support.

Education and Professional Skills / Knowledge

  • LL.B. or J.D. degree (or equivalent).
  • Good standing with a Canadian Law Society.
  • 10+ years of legal experience, ideally in corporate law, SaaS agreements, and regulatory compliance.
  • Proven expertise in managing M&A transactions and intellectual property portfolios.
  • Strong business acumen with a collaborative, solution-oriented approach.
  • Leadership experience in fast-paced, dynamic environments.
  • Compensation ranges from $K - $K, plus a bonus.
