The Corporate Lawyer will provide comprehensive legal support across various business operations in Canada and the U.S., ensuring compliance with all relevant laws and managing legal risks.

This role involves drafting, reviewing, and managing contracts, handling legal disputes, and providing legal advice to different departments within the organization.

KEY AREAS OF RESPONSIBILITY

  • Contract management including drafting, reviewing, and negotiating a wide range of contracts including client, vendor, and trade agreements.
  • Ensuring all contracts comply with relevant laws and regulations in Canada and the U.S.
  • Manage lien waivers for vendor and client agreements.
  • Monitor and ensure the company’s compliance with all applicable laws and regulations.
  • Develop and implement policies and procedures to mitigate legal risks.
  • Manage and resolve legal disputes, coordinating with internal and external stakeholders.
  • Provide strategic advice on dispute resolution and litigation matters.
  • Support corporate governance activities, including board meetings and corporate filings.
  • Ensure adherence to corporate policies and procedures.
  • Advise the HR department on employment law issues and disputes.
  • Assist in developing and reviewing employment contracts and policies.
  • Conduct risk management evaluations identifying and assessing potential legal risks to the organization.
  • Develop strategies to mitigate identified risks.
  • Stay updated on relevant regulatory changes and advise the organization accordingly.
  • Liaise with regulatory bodies as necessary.
  • Provide training and guidance to employees on legal matters and compliance issues.
  • Develop and maintain legal knowledge resources for the organization.
  • Other duties as assigned.

Your Skills & Experience

  • Minimum 5 years of experience practicing corporate law in Ontario.
  • Strong understanding of Canada and US contract law, corporate governance, and regulatory compliance.
  • Familiarity with Canadian Employment Law would be considered an asset.
  • Excellent negotiation, communication and interpersonal skills.
  • Ability to manage multiple tasks and work under pressure to meet deadlines.
  • Strong analytical and problem-solving abilities.
  • High level of integrity and professional ethics.

EDUCATION :

  • Juris Doctor (JD) degree or equivalent from an accredited law school.
  • Licensed to practice law in Ontario.
