In collaboration with the Vice President, Corporate Affairs and Investments, the incumbent will act as legal counsel in a wide range of transactional law matters, including mergers and acquisitions, corporate reorganizations, as well as commercial, corporate, and corporate governance law for Pomerleau and its subsidiary, Pomerleau Capital

What You Will Do

  • Prepare, review, analyze, comment on, and negotiate various types of contracts, including shareholder and partnership agreements, limited partnership agreements, investment funds, construction and operation contracts;
  • Participate in the preparation of documentation related to various transactions involving the company (reorganizations, mergers, and acquisitions);
  • Maintain and update, in collaboration with the corporate secretary, the corporate documents of the company and its subsidiaries;
  • Assist in the establishment and updating of various governance documents and company policies;
  • Advise the Pomerleau Capital team regarding public-private partnerships, project financing, investments, etc.;
  • Prepare, review, and negotiate collaboration agreements, memoranda of understanding, and other documents with partners, including partnership agreements and corporate and shareholder agreements;
  • Negotiate and review all financing agreements and credit agreements;
  • Coordinate and collaborate with external legal advisors;

This role could be for you if you have

  • Hold a bachelor's degree in law and be a member of the Bar of Quebec (membership in the bar of another Canadian province will be considered an asset);
  • 3 to 5 years of experience in commercial and corporate law;
  • Relevant experience in corporate law, mergers and acquisitions, partnership agreements, PPP-type contractual agreements, or banking financing (will be considered an important asset);
  • Excellent command of French and English, both written and spoken;
  • Strong analytical and synthesis skills, rigor and attention to detail;
  • Demonstrate judgment, initiative, leadership, autonomy, versatility, and teamwork;
  • Ability to work well under pressure and execute tasks within a tight schedule;
  • Capacity to manage multiple files simultaneously;
  • Entrepreneurial skills and creativity in finding solutions;
  • Openness to occasional travel to different regions of Canada where work-related representations will be necessary;
