Role requirements :

  • The Ultra Commercial function is responsible for negotiating the terms and conditions in contracts and ensuring compliance with the terms and conditions and agreeing on any changes or amendments that may arise in the management of contracts made with customers, vendors, partners or employees. This role performs an important oversight function to ensure adherence with internal procedures on bid management and approval, and acts as the conduit between the SBU sales and technical teams and other Group functions including Finance and Legal.
  • An individual in this role will lead a team to input into the plans of the function. Will be responsible for implementing policy and ensuring delivery within area of responsibility, linking with other parts of the function or business.

Key responsibilities :

  • Identify key areas in contract terms supplied by other parties that would represent a significant risk to the Company;
  • Lead negotiations with clients, suppliers and third parties on acceptable terms and conditions during bid / award and project execution phases;
  • Manage the relationship and communication between the customer and Ultra;
  • Oversee hands-on contract documentation control from pre-award negotiations through contract close-out, including the review of contracts relative to proposals submitted;
  • Preparation of instructions for all contractual deliverable items;
  • Engage in all future capture efforts including providing assistance and guidance during proposal management and development, as well as ensuring that the commercial and contractual aspects of proposals are reviewed, redrafted, and submitted accordingly;
  • Represent Contracts at program meetings, support Program Managers with SOW and contract interpretation during contract execution, and drive contractual action items to completion;
  • Act as a formal interface with customers / subcontractors during the execution of contracts;
  • Assist with company compliance to ITAR and CCG;
  • Prepare monthly / quarterly contract reports;
  • Preparation and negotiation of non-disclosure agreements for suppliers and customers;
  • Support Intellectual Property and patent administration;
  • Mentor / coach junior team members on contract administration procedures and contractual administration techniques;

  • Any other duties as required by the company.
  • Qualifications / Skills Required :

  • 8+ years’ experience working in commercial / contracts administration
  • 2+ years’ managing 2 or more direct reports
  • The Candidate must be capable of acquiring a NATO Secret security clearance and a Canadian Controlled Goods assessment to the satisfaction of the company
  • Desired Skills :

  • Degree in Law, Commerce, or related field from accredited institution.
  • Aerospace / defence or related business is an advantage;
  • Experience of drafting and negotiating standard supply and purchase agreements and non-disclosure
  • agreements.
  • Experience managing relationships with key stakeholders
  • Advanced written and verbal communication skills;
  • Experience drafting and negotiating agreements;
  • Knowledge of contract law and government regulations as they relate to commercial and contracts
  • functions;
  • High level of capability with Microsoft Office (Word, Excel, PowerPoint).
