Overview
As a Senior Corporate Law Clerk with EY Law LLP, you will provide our clients with quality service. Our team offers commercial, corporate and partnership law advisory services, including due diligence, re‑organisations, mergers and acquisitions, financing, joint ventures, transfer pricing, and drafting contracts and employment policies.
Responsibilities
- Utilize technical legal and procedural understanding of corporate and employment law and apply it to client situations.
- Assist in drafting, reviewing and analysing corporate commercial contracts, including service agreements and joint operating agreements.
- Ensure applications, agreements and contracts are filed timely.
- Meet with Corporate Lawyers to discuss client questions and report back.
- Support drafting emails responding to client queries and building trust through communication.
- Assist in elaborating scopes of work and client step‑memos.
- Follow up with internal teams to ensure processes align with client requests.
- Ensure lawyers are advised of client‑related issues.
- Attend seminars and professional development courses relevant to the specialty area.
Preferred Knowledge
- Mergers and Acquisitions
- Distribution, licensing and shareholder agreements
- Corporate governance
- Incorporations and organisations (Ontario, Quebec and federal)
- Amendments, dissolutions, continuances and amalgamations (Ontario, Quebec and federal)
- Commercial agreements
Qualifications
- Undergraduate university degree, college diploma, or equivalent experience.
- 2-3 years in a legal support role, preferably in corporate and employment law.
- Excellent organisational, verbal and written communication skills.
- Exceptional attention to detail.
