Job Title : Finance Partner Location : NYC, Buffalo, Albany, Toronto, Rochester, or Florida Our client, a leading and dynamic law firm recognized for excellence and innovation in legal services, is seeking a highly experienced transactional banking and finance attorney to join its Corporate and Finance practice group. This role is available in the firm’s Buffalo, Rochester, Albany, Toronto, Florida, or New York City offices. The selected candidate will be part of a collaborative team focused on building new client relationships and taking business development to the next level. Experience Required : 10+ years in commercial finance transactions. Qualifications : Significant experience in negotiating, structuring, and documenting both secured and unsecured financing transactions for borrowers and lenders. Expertise in commercial mortgage transactions, leveraged acquisition financings, asset-based financings, and senior, mezzanine, and subordinated debt transactions. Proficiency in cross-border financings and issuing opinion letters. Strong understanding of U.S.-based and foreign financial institutions, including multistate banks, community banks, and non-traditional lenders, servicers, and financial services institutions. Experience advising lending, finance, and investment banking / advisory clients. Familiarity with leveraged and acquisition finance, senior and subordinated finance transactions. Ability to draft, review, and negotiate legal documents related to finance transactions, including inter-creditor agreements, loan documents, and other related agreements. Responsibilities : Represent lenders, borrowers, sponsors, and institutional investors in a wide variety of commercial finance transactions. Manage asset-based finance, cash flow finance, senior, mezzanine, and subordinated finance, and leveraged and acquisition finance matters. Advise on structured finance, private credit, and direct lending transactions. Collaborate with other practice areas to deliver comprehensive solutions to clients. Requirements : Juris Doctor (J.D.) from an accredited law school. Minimum of 10 years of experience practicing commercial finance law. Compensation and Benefits : Salary Range : $175,000 to $450,000 (based on experience, skills, and other relevant factors).
