To support its dynamic growth across North America, Toromont is seeking an experienced General Counsel and Corporate Secretary to join the Toromont Leadership Team. The General Counsel and Corporate Secretary will provide strategic legal, regulatory and compliance advice on a wide range of public company, corporate / commercial, M&A and governance matters. A trusted and collaborative business partner to Toromont’s CEO and its Executive Team and an effective relationship builder, the General Counsel and Corporate Secretary will work seamlessly with Toromont’s Board of Directors and a wide range of key stakeholders across the business including key partners and external counsel to ensure Toromont’s continued growth and success.
With 10-15+ years of seasoned business and legal experience, including as a General Counsel and Corporate Secretary, and with a background in corporate / commercial, securities law and cross-border M&A in a large, complex public company, the General Counsel and Corporate Secretary understands the duties of care to shareholders, Toromont and its Board and has the ability to effectively negotiate and execute a broad range of commercial transactions, acquisitions and financings. In good standing and able to practice law in Ontario, the incoming General Counsel and Corporate Secretary will have deep knowledge of public company disclosure requirements, investor communications and corporate governance. With sound business judgment and the ability to appropriately balance business objectives and legal risk, the General Counsel and Corporate Secretary sets the direction for Toromont’s Legal Team to maximize business opportunities for the company. Managing all legal aspects of Toromont’s transactions globally from inception to completion, the General Counsel will contribute to establishing appropriate transaction structures and will effectively draft, negotiate and review key commercial contracts, coordinating due diligence processes and negotiating transaction documentation.
Financially literate and with the ability to provide legal and business advice on a wide range of corporate, employment, insurance, ESG, cybersecurity and liability matters, the incoming General Counsel will have experience managing, advising and executing complex strategic transactions on both sides of the border.
