Drafting, reviewing, and negotiating corporate letters / documents and construction contracts under CCDC standards, which includes agreements with third-parties, subcontractor agreements, purchase orders, and material supplier contracts while ensuring compliance with construction management principles
Managing and providing comprehensive corporate support of / to subsidiaries (wholly owned and non-wholly owned), liaising where required with non-legal resources within subsidiaries involved in legal entity maintenance
Administering pre-construction and construction documents such as change orders, and subtrade procurement documentation, specific to construction contracts
Supporting legal counsel and construction managers by creating detailed reports and summaries related to contract execution, construction schedules, warranties, and risk mitigation
Acting as a point of contact for construction managers and trades regarding legal and contractual questions, including addressing any contractual concerns specific to construction agreements
Maintaining accurate documentation, organizing and updating legal documents and contracts efficiently using contract management software
Producing memoranda to legal counsel on a variety of legal issues, as required
Assisting legal counsel on all other legal duties / tasks, as required
QUALIFICATIONS :
A law clerk or paralegal diploma or degree
Minimum 3-5 years of experience in corporate commercial law, construction law or contract law, with specific exposure to construction contracts preferred
Practical experience in drafting, negotiating, and managing legal documents and agreements, with a focus on corporate documents, construction contracts and lien rights under CCDC guidelines
Robust drafting skills including legal letters, notices, and preparation of corporate documents such as resolutions, bylaws, articles of incorporation / amalgamation / dissolution
Ability to manage complex contract structures including understanding contract performance, warranties, and cost management under a construction management agreement
Proficiency in legal research and using contract management software or document management systems
Excellent interpersonal, written, and verbal communication skills with the ability to clearly explain complex contractual terms to stakeholders
Strong Organizational and prioritization abilities
Proficiency of Microsoft Word, Excel and PowerPoint
