The Role
The Director, Legal will lead and manage an effective and well-regarded in-house legal services function known for delivering expert business-oriented legal advice and counsel on all commercial enterprise legal matters. Further, the Director will act as a business partner for strategic initiatives as they support Cymax Group’s growth and expansion plans. This includes collaboration with key internal stakeholders : the CEO and executive management team, department leaders, and key external stakeholders such as external legal counsel, investors, and vendors.
What You’ll Do
Legal Management
- Acts as a business partner to the company regarding commercial matters to support decisions that best protect Cymax Group’s legal and financial interests
- Serves as the Cymax Group legal point of contact for lenders, strategic partners and other transactional partners
- Liaises with established retained firms in the US and Canada
- Manages the creation and advancement of all legal documentation, legal research, correspondence and presentations required for management, Board of Directors, government and regulatory approvals of commercial transactions
- Sets and manages annual legal budget and legal related spend; updates budgets and forecasts in alignment with corporate budget process
- In consultation with the CEO and senior management, determines optimal external counsel and specialty area counsel requirements (IP, employment, litigation)
- Liaises with internal departments, such as Finance and P&C, on information requests, problem solving where legal considerations are involved, and related documentation
Legal and Corporate Compliance, Regulatory
Provides strategic legal advice on development of Canadian laws as they impact Cymax Group businesses and conducts legal research on legal matters relevant to the Company’s activitiesPrepares, reviews, and revises Cymax Group contracts, including non-disclosure agreementsResponds in a timely and constructive manner to internal and external stakeholder inquiries regarding corporate legal mattersManages any Cymax Group-related litigation, directing external counsel as necessary and providing strategic advice internally on how to effectively address litigationMonitors Canadian, US and EU privacy regulations and market practice regulations and ensures best practice compliance; manages updates to privacy policiesPartners with Finance on tax compliance, tax planning, cross-border IP, transfer pricing matters, SRED, reporting and oversight, audit preparationResponsible for insurance policies and negotiationsAddresses compliance and consent matters on current lending facilitiesReviews and negotiates lease agreements for HQ and ancillary localesVendor Contracts and Marketplace Initiatives
Negotiates terms with key vendors, prepares new forms of vendor agreements and related ancillary agreements (rebates, SLA, Prop 65), solicits and incorporates comments and feedback from internal stakeholdersReviews, negotiates and advises on 3P Marketplace Agreements and ancillary agreements (pricing, addendums, service providers)Drafts terms of use and other policies on marketplaces through which Cymax Group sellsEnsures employee and contractor related IP is managed (with the support of external counsel where needed) and that necessary applications, registrations and filings are completePrepares, revises, and reviews where necessary, agreements with 3P on White label initiatives and prepares related standard form templatesTransaction Management
Manages transactions and all aspects of responding to diligence requests and negotiating transaction documentsPrepares related resolutionsStays apprised of post-closing matters and related internal and external communicationCorporate Governance
Advises on corporate governance matters for Canada and stays apprised of US governance issuesProvides guidance to Executive leadership and Board on investor and shareholder matters, prepares and revises investor documents; interacts with investor counselFreight Club
Acts as a legal resource for deal execution and partnershipsNegotiates new carrier / forwarder agreements in collaboration with Freight Club leadership; prepares any new form of agreementEstablishes standard form of Freight Club specific agreements (referral, partnership), completes minor amendments, coordinates executionProvides advice on delinquent collectionsPeople and Culture
Responds in a timely manner to requests from the P&C team on employment law matters, including offer agreements, termination and severance scenarios, and equity and exit incentives; seeks specialized external counsel advice when neededProvides value-added guidance on legal implications / ramifications of emerging workplace or HR policy issues to mitigate escalation and maintain the company’s reputation as a fair, respectful, and supportive employerWho You Are
5+ years of related legal experience, ideally with experience working in-house with senior business leadersJuris Doctor (JD) degree from an accredited law schoolMember in good standing of a provincial bar associationExtensive experience in corporate law, commercial transactions, and regulatory complianceProven ability to manage complex legal matters and provide strategic legal adviceStrong negotiation and communication skillsExperience working with senior management and Board of DirectorsAbility to manage multiple priorities and work under pressureHigh ethical standards and professional integrityExperience in the technology or e-commerce sector is a plusCulture at Cymax Group
