JOB OVERVIEW
Ontario Power Generation (OPG) is looking for a dynamic, strategic and results-driven professional to join our team in the role of Senior Manager, Energy Supply Agreements & Commercial Contracts .
Reporting to the Director, Energy Markets, the position is primarily responsible for having accountabilities and oversight functions related to managing OPG's Hydroelectric Energy Supply Agreements (HESAs) with the Independent Electricity System Operator (IESO). The Senior Manager oversees a portfolio of hydroelectric contracts valued at $300 million per year covering five separate agreements that provide cost recovery and a return on investment for a number of OPG non-OEB rate regulated generating stations (Lower Mattagami, Upper Mattagami, Hound Chute, Healey Falls, Lac Seul / Ear Falls, and Peter Sutherland Senior generating stations). Most of these stations also have equity partnership agreements with a number of First Nation communities and the Senior Manager is also responsible for managing these partnerships and ensuring partnership obligations are fulfilled.
The ideal candidate would have demonstrated experience with contract management, corporate finance and business economics, finance and accounting, and dealing with legal subject matter. Knowledge of Ontario electricity sector including the market, legal, stakeholder, regulatory environment, station operations, and the technical aspects of electricity generation would also be an asset.

KEY ACCOUNTABILTIES
- The Senior Manager, Energy Supply Agreements & Commercial Contracts is accountable to the Director Commercial Contracts & Partnerships in the Energy Markets Division of OPG.
- The Senior Manager is responsible for the ongoing administration, negotiation and internal and external relationship management of several commercial contracts and agreements. These include : energy supply agreements with the IESO (e.g., Hydroelectric Energy Supply Agreements (HESAs), Lennox Energy Supply Agreement, Atikokan Biomass Energy Supply Agreement), Fuel Supply and Logistical Agreements, Ancillary Service Contracts, and Partnership Agreements (such as with First Nations Partners).
- Be responsible for directing work programs of team members to support the below areas of responsibility, supporting staff development, and advancing employee engagement in the Energy Markets division.
- Be the key interface with OPG support functions (rest of Energy Markets, Finance, Credit / Risk, Station Operations, Projects, Indigenous Relations, Law, and Government Relations) to facilitate the execution and implementation of contract terms, ensuring all contract obligations are met, risks are managed, and rights / opportunities are pursued.
- Build and maintain relationships with stakeholders and service providers within and external to OPG including the IESO, fuel providers, vendors, and Ministry of Energy staff.
- With direction from the Director and through relationships with peer managers and support functions within OPG, the Senior Manager is responsible for the following :
- Contract Management & Negotiation / Execution :
- Ensure all contract obligations are fulfilled and rights exercised as appropriate, working with internal and external stakeholders.
- Direct and lead key activities as they relate to contract negotiations and contract management with key external counterparties, including but not limited to activities such as contract language development, analysis of contract parameters, development of negotiating positions, establishing key principles and policies, face to face negotiations, contract execution, financial accounting and audits, strategic advice, etc.
- Management of OPG's Energy Supply Agreements with the IESO and other counterparties, including contract renegotiations; leading the development of, submitting, and seeking approvals for revenue requirement and capital cost recovery submissions for contracted generation assets; and exercising contract levers when prudent (e.g. invoking force majeures, dispute resolution mechanisms, facility amendments, etc) to manage risks (financial, performance) and to avoid default.
- Providing oversight and conduct value-added technical and commercial analysis for the management of contracts including providing analytical support and recommendations to ensure that contract management requirements are fulfilled and that documents and processes are followed to provide the best possible value to OPG, Ontario's electricity system, and ratepayers.
- Be OPG's key single point of contact and OPG's subject matter expert with respect to issues for external counterparty negotiations, as well as internal OPG discussions.
- Work with appropriate Departments within OPG to establish negotiation parameters ensuring all affected Departments are in agreement with path forward prior to the start of negotiations.
- Support Director with facility amendments or contract negotiations as required.
- Lead the development of negotiation principles, strategies, and processes for existing and new agreements.
- Advise on systems and procedures and recommend changes to support the successful management of contracts.
- Interfacing with the station operations team to understand technical issues and project plans and applying a commercial contracts lens to help inform OPG decisions (e.g. related to contracts or program plans) and advance issues with the IESO as it pertains to contract matters.
- Interfacing with the finance team to develop revenue forecasts, program budgets, reconciling financial parameters, invoice true-ups, equity allocations, and support business planning and assessment of financial risks as it pertains to the contracts.
- Account Management :
- Cultivate, develop and manage internal and external relationships (e.g., with IESO, Government and its agencies including the Ministry of Energy, and other stakeholders / partners) necessary for the effective development and delivery of an account management philosophy.
- Effectively manage contract issues by meeting with, for example, key OPG support function leads, external counterparties (e.g. IESO), and Ministry of Energy staff.
- Manage OPG's First Nations equity partnerships, ensuring all partnership obligations are satisfied.
- Continue during the life of any contract / agreement to be OPG's SPOC for the account and address any contract management issues which have been elevated beyond the ongoing operational requirements of the contract.
- Where appropriate be positioned to provide account management to the operations elements of any contract or agreement, such as, but not limited to elements of product and service delivery, capital investments, revenue requirement submissions and cost recovery plans, outage related issues that affect ability to meet availability obligations under the contract, etc.
- Advise and assist the line functions on matters related to product and service agreements.
- This role combines both oversight responsibilities and transactional issues as required by each separate agreement.
- Business Support & Development :
- Drive the processes and provide insights to assist the Director, / Vice President in developing, coordinating, documenting and communicating input to Business Unit strategy in support of OPG objectives.
- Lead the development of new business opportunities and direct the development of new products and markets and provide appropriate training, as required.
- Lead the development of proposed transactions to facilitate execution while minimizing market, legal, credit and operational risks.
- Develop, coordinate, implement and manage umbrella agreements, as required with external stakeholders and ensure the necessary internal and external approvals are obtained.
- Provide multi-year revenue forecasts to support OPG corporate business planning functions.
- Conduct research on topics and issues related to contracts under management.
- Know and ensure compliance with legal and regulatory requirements, and all corporate policies and procedures and generally accepted practices as it relates to the work of the business.
- Communication :
- Provide updates, reports, and presentations to the Director on a regular basis and to senior leadership as required to facilitate comprehension of agreements and key issues.
- Ensure all appropriate Lines of Business within OPG are clearly informed at all times with respect to key issues or potential issues as it relates to activities within an established contract / agreement, negotiation, or business opportunity.
- Other Responsibilities :
- Effectively manage team including organizing and directing of work programs, performance management, and other administrative functions.
- Demonstrate leadership and mentor, advise, and guide team members
- Act for the Director during periods of the Director's absence.
- Support staff development and advancing employee engagement results.
- Prepare and assist in the development of budgets and schedules.

EDUCATION

The education required to complete the responsibilities associated with the position is typically obtained through 4 years of university training and subsequent 8 to 10 years industry work experience.Knowledge of contract management, project management, and finance / accounting principles and practices.Knowledge of Ontario electricity sector including the market, legal, and regulatory environment.Knowledge of the technical aspects of electricity generation (e.g., hydroelectric, solar, gas / thermal and other generating stations).Understanding of the various generation contracts (e.g. power purchase agreements, bilateral contracts for energy / capacity, standard offer programs, other commercial or regulatory arrangements for the provision of electricity services) and programs used in Ontario or other markets, by the IESO, and in industry including the rationale and importance for each, as well as the various types of provisions in those contracts.Ability to work effectively within a group and must be able to effectively coordinate with internal stakeholders and external counterparties including the IESO.Finance experience including demonstrated experience with setting budgets, developing revenue forecasts, audits and reconciliation, and financial accounting.Experience with business / corporate finance and economics.Project management and project scheduling experience with an emphasis on being a self-directed, highly motivated individual with strong planning and coordinating skills to organize own priorities and workflow.Must be analytical, systems-oriented, and driven to improve processes and take initiative to highlight opportunities.Demonstration of excellent analytical, financial modeling, problem solving and presentation skills - able to analyze raw data, draw conclusions and develop practical recommendations.Demonstration of strong understanding of business principles and processes as they relate to power generation technology.Demonstration of negotiation skills and ability to work with contract counterparties in a challenging environment.Must be detail oriented and must be able to handle multiple priorities in a fast-paced, challenging environment.Must have excellent oral, written and presentation skills including being capable of interfacing with external consultants and senior leadership within OPG and contract counterparties.Must be able to generate high quality briefing notes / reports and power point presentation materials and have honed interpersonal skills, being comfortable presenting findings internally or externally.What Makes a Career at OPG Different?
