M&A Law Clerk

Our client, a leading independent investment firm, is seeking an experienced M& A Law Clerk to join their Vancouver office on an 18-month contract with strong potential for permanent role. This position offers the opportunity to work on complex corporate and transactional matters in a fast-paced, professional environment.

Key Responsibilities

• Manage complex corporate transactions, from initial counsel instructions through to completion of post-closing filings
• Execute corporate and securities name searches, and assist with share/asset purchase and sale transactions as well as reorganizations
• Prepare documents for British Columbia and Federal entities, including incorporations, organizations, continuances, amendments, amalgamations, and dissolutions
• Prepare and file extra-provincial registrations, business names, and required corporate updates
• Maintain both electronic and physical corporate records, including supporting the onboarding and maintenance of an electronic corporate database
• Perform administrative and related duties as assigned, and assist colleagues when needed
• Respond to internal and external requests for information and documentation, providing general legal support services
• Take on additional responsibilities as required to support the firm’s business objectives

Qualifications

• Minimum 3-5 years of experience as a Law Clerk or Corporate Paralegal, with exposure to M& A and transactional work
• Strong knowledge of BC, ON, AB and Federal corporate law and procedures
• Excellent drafting, organizational, and time management skills with strong attention to detail
• Proficiency with corporate database systems and electronic record management
• Ability to manage multiple deadlines in a fast-paced environment while maintaining accuracy
• Strong communication and interpersonal skills, with a collaborative and professional approach
