As a board member you will bring leadership to the organization's governance structure and play a critical role in guiding the strategic direction of our organization, ensuring we reach our goals and remain true to our purpose of serving humanity so all may live as God intended.

Key Responsibilities & Qualifications Include :

Governance

  • Determine general working policy guidelines for ADRA Canada within overall ADRA network guidelines.
  • Participate in the strategic planning process.
  • Analyze and approve strategic plans (including emergency preparedness and response plan).
  • Determine terms of reference for the Administrative Committee (ADCOM).
  • Delegate overall operational management authority to the Chief Executive Officer (CEO) and / or ADCOM, within policy.
  • Delegate specific authority, as may be required, to the CEO or ADCOM, beyond that stipulated in policy or approved terms of reference.
  • Review and approve terms of legal registration by ADRA Canada with relevant government authorities.
  • Determine schedule and venue for meetings of the Board.
  • Approve Board minutes and management reports.
  • Appoint standing committees to serve the interests of the Board and establish terms of reference.

Finance & Shared Services

  • Analyze and approve annual administrative operating and capital budgets.
  • Receive and approve finance management reports and financial statements at least twice a year.
  • Receive and approve auditor's financial report.
  • Approve the establishment and closure of bank accounts held by ADRA Canada and the addition or removal of signatories for same.
  • Authorize purchases or expenditures by ADRA Canada in excess of $250,000.00 from administration funds. (It should be noted that if a project has been approved by the Board which includes the project budget, the purchase, disbursement or transfer of any items listed in this budget do not require further Board approval regardless of the value.)
  • Determine guidelines for, and authorize the specific placement of, reserve or similar funds for investment growth.
  • Approve expenditure of restricted funds outside of its original designation.
  • Approve strategies for risk management.
  • Ensure internal control systems are in place.
  • Development Program & Emergency Program

  • Review and record grants and contracts.
  • Approve unusual grants and contracts recommended by ADCOM of more than $1,000,000.00.
  • Receive and approve management reports at least twice per year for all projects.
  • Philanthropy & Marketing (PhilM)

  • Support the development and approval of a fundraising strategy and policies.
  • Promote ADRA Canada to external audiences.
  • Human Resources

  • Appoint or terminate employment of the CEO in a timely manner ensuring the uninterrupted presence of a capable CEO.
  • Approve the appointment or termination of the Chief Financial Officer, Development Program Director, Emergency Program Director and PhilM Director.
  • Set policy for initial determination and annual adjustments to wages and / or wage percentages for personnel.
  • Review employee remuneration (salaries / benefits) package.
  • Analyze and approve ADRA Canada's organizational structure.
  • Ensure the development of, and approve, the position profile for the CEO and other Administration Officers.
  • Evaluate the performance of the CEO.
  • Facilitate the CEO's access to needed coaching, mentoring and training support in the performance of his / her duties.
  • Qualifications :

  • Member of the Seventh-day Adventist Church in Canada.
  • Commitment to ADRA Canada's purpose, values and goals.
  • Business, fundraising, legal or NGO experience.
  • Strong leadership and communication skills.
  • Ability to work collaboratively and build relationships with diverse stakeholders.
  • Previous board experience is an asset, but not required.
  • Ability to attend quarterly meetings and a special Members' Meeting every 30 months (approximately, but not more than 36) to elect a new / renewed Board of Directors.
