Responsibilities :
- Assist client's legal team in drafting and reviewing corporate governance documents, including board resolutions, bylaws, policies, and charters
- Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
- Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents
- Assist with the preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings
Minimum Qualifications :
10+ years of corporate governance experience gained working as a paralegal in a large corporate in-house environmentStrong understanding of corporate governance principles and best practices and familiarity with corporate filings, SEC regulations, and compliance requirementsProficient in legal research tools, databases, and related softwareOpen to working in an engagement-based role, seconded to clients on a temporary basisAbility to work remotely, located in the Greater Toronto AreaCompensation, Benefits & Location :
