Job Description

Vice President, General Counsel , Corporate Secretary

The successful candidate will bring a deep understanding of corporate governance, regulatory compliance, and high-stakes legal strategy, coupled with exceptional leadership skills, to guide the organization through complex transactions, litigation, and board-level decision-making. They will be a trusted advisor to senior leadership and the Board of Directors, ensuring legal excellence while driving strategic initiatives that align with the organization’s commitment to sustainability, innovation, and global agricultural impact.

Key Accountabilities and Responsibilities

  • Ensure compliance with corporate governance best practices and evolving regulatory requirements.
  • Support key Board committees such as the Disclosure and Pension Committees.
  • Provide legal counsel to internal groups including Finance, Tax, HR, Sustainability, and IT.
  • Oversee statutory and regulatory filings for Canadian and U.S. stock exchanges.
  • Ensure adherence to filing deadlines across 1,+ obligations annually.
  • Lead legal aspects of strategic transactions, including due diligence, risk management, and contract negotiation.
  • Act as primary legal advisor for acquisitions, dispositions, and shareholder activism responses.
  • Develop and manage the company’s global litigation portfolio, encompassing corporate, regulatory, and environmental disputes.
  • Mentor in-house litigators and manage external counsel to ensure alignment with corporate objectives.

Education and Professional Skills / Knowledge

  • LL.B. or J.D. degree (or equivalent).
  • Good standing with a Canadian Law Society.
  • 10–15+ years of experience in corporate law, with a focus on governance, M&A, and litigation.
  • Proven expertise in regulatory compliance and corporate governance for publicly traded companies.
  • Strong leadership and strategic thinking skills, with experience managing high-performing legal teams.
